RICHMOND, Va., July 26, 2002 - Performance Food Group today announced that it has acquired Thoms-Proestler Company ("Thoms-Proestler"), a privately-owned, broadline foodservice distributor based in Rock Island, Illinois. The transaction is valued at approximately $95 million, which represents the consideration for the acquisition of Thoms-Proestler's outstanding voting and non-voting securities as well as the assumption of certain liabilities, and has been structured to provide for tax-deductible goodwill. Approximately $80 million of the transaction consideration was paid in cash and the assumption of liabilities, and approximately 500,000 shares of Performance Food Group common stock were issued for the balance. In addition, the purchase price may be increased by up to $7 million if Thoms-Proestler achieves certain operating targets over the next two years.

Thoms-Proestler is a full-service broadliner and serves customers located throughout the states of Illinois, Iowa, Indiana and Wisconsin, including the major metropolitan area of Chicago. The company operates a state-of-the-art 255,000 square foot distribution center. The company's customers include local and regional restaurant chains, independent restaurants and healthcare facilities. Thoms-Proestler generated sales of approximately $230 million in 2001. Performance Food Group generated sales of $3.2 billion in 2001.
