MRV Communications, Inc. (Nasdaq: MRVC) announced that the previously announced short-form merger of Luminent, Inc. with a wholly-owned subsidiary of MRV Communications, Inc. became effective on December 28, 2001.

Luminent stockholders were entitled to receive 0.43 of a share of MRV common stock, for each share of Luminent common stock owned at the time of the merger (except for shares held by Luminent stockholders who perfect their statutory appraisal rights under Delaware law). Duff & Phelps, LLC, a national investment banking and financial advisory firm, was engaged by the board of directors to act as its financial advisor and rendered an opinion as to whether the offer price was fair to the minority shareholders.

As a result of the merger, shares of Luminent ceased to be publicly traded on the Nasdaq Stock Market as of the close of business on December 28, 2001. MRV has renamed the corporation surviving the merger as Luminent, Inc., which is wholly-owned by MRV Communications.
