Chernova’s Take - New Regulatory Curbs on Foreign Investment Strike at Heart of VC Growth

Rosemary Fanelli, Managing Director in Duff & Phelps’ Compliance and Regulatory Consulting practice, was quoted in a WSJ Pro Venture Capital article about the signing of the Foreign Investment Risk Review Modernization Act by President Trump. This will enable the Committee on Foreign Investment in the US, the power to block small investment deals such as venture capital rounds, on grounds that it poses risk to national security. As a result, many deals could be in danger of being blocked. Startups seeking foreign investment also face rising legal costs.

"There will be fewer opportunities for foreign investors to meaningfully participate in certain select investment opportunities. That will have a chilling effect on certain foreign-investor options….Now that the President has signed the bill, it will enter the rulemaking process. That process may determine, for example, which countries would be exempt from review, as well as whether some entities, such as foreign pension funds might be exempt," said Rosemary.
