Adam August is a director in the Compliance and Regulatory Consulting practice at Duff & Phelps, based in Dallas. He has over 11 years of experience in corporate and securities law.
Adam joined Duff & Phelps from Akin Gump Strauss Hauer and Feld, where he was senior counsel in the Investment Funds and Private Equity Practice Group, which focused on corporate and securities law and other transaction matters, including the formation, structuring, management and operation of U.S. domestic and international private investment funds and registered investment advisors. Adam has advised investment managers of private funds, including hedge funds, commodity funds, cryptocurrency funds, private equity funds, secondary funds, funds of funds and single purpose investment partnerships, with respect to private placements, complex federal and state registration or exemption issues for investment advisers, commodity pool operators and commodity trading advisers, as well other corporate matters and compliance issues beginning with the initial fund raising process and continuing throughout the life of the fund. In addition, Adam has assisted with the negotiation of side letter agreements and other strategic relationship documents, including SEC filings, ADV filings and Form PF, and drafting management entity governing documents for various management structures and joint ventures, as well as related investment management agreements, transaction documents, third-party marketing agreements, separately managed account agreements, employment documents, compliance manuals and policies and equity participation plans.
Adam is a member of numerous professional organizations, including the Dallas Committee on Foreign Relations, the Dallas Bar Association and the Dallas Association of Young Lawyers.
Adam received his BA in history and economics from Vanderbilt University and his JD from Southern Methodist University. He is admitted to the State Bar of Texas and to practice in the United States District Court for the Northern District of Texas.
